Savory7 Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, applications, and technology solutions provided by Savory7, LLC ("Savory7", "we", "us", or "our"), including our online ordering tools and point of sale (POS) products (collectively, the "Services"). Savory7 is a California-based limited liability company. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Who We Are and Our Role

Savory7 provides technology that enables restaurants and similar merchants (each a "Restaurant") to offer online ordering, payments, and POS functionality. Unless we explicitly state otherwise, Savory7 is not a Restaurant, seller, or merchant of record; we do not prepare, manufacture, or sell food or beverages and we are not a party to transactions between you and a Restaurant. Each Restaurant is solely responsible for its menu, pricing, taxes, regulatory compliance, food safety, quality, order fulfillment, refunds, and customer service related to your Restaurant transaction.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You agree not to:

The Services may integrate with or link to third-party websites, products, or services. We are not responsible for third-party content or practices and do not endorse them. Your use of third-party services is subject to their terms and privacy policies.

8. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect and use information. When we process personal information on behalf of a Restaurant, we act as a service provider/processor and the Restaurant’s privacy policy applies to that processing.

By using the Services, you consent to receive transactional communications (e.g., order confirmations, receipts, updates). Where permitted by law, we may send you informational or promotional communications; you can opt out of non-transactional communications as provided in those messages.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. RESTAURANTS ARE SOLELY RESPONSIBLE FOR THEIR PRODUCTS AND SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAVORY7 OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO SAVORY7 FOR THE SERVICES THAT GAVE RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

You agree to defend, indemnify, and hold harmless Savory7 and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Services.

14. Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. You and Savory7 agree to the exclusive jurisdiction and venue of the state and federal courts located in San Mateo County, California, for any disputes that are not subject to arbitration (if any) or cannot be resolved informally.

15. Dispute Resolution

Before filing a claim, you and Savory7 agree to attempt to resolve the dispute informally by contacting the other party using the contact information below. If the dispute is not resolved within 30 days, either party may pursue available remedies in court or, if mutually agreed in writing, in binding arbitration. Nothing limits either party’s ability to seek equitable relief for unauthorized use or misuse of intellectual property.

16. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. The "Last updated" date above reflects the latest changes. If we make material changes, we will provide notice as required by law. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

17. Export and Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. embargoes or sanctions. You agree to comply with all applicable export control and economic sanctions laws and regulations.
