Savory7 Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, applications, and technology solutions provided by Savory7, LLC ("Savory7", "we", "us", or "our"), including our online ordering tools and point of sale (POS) products (collectively, the "Services"). Savory7 is a California-based limited liability company. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Who We Are and Our Role

Savory7 provides technology that enables restaurants and similar merchants (each a "Restaurant") to offer online ordering, payments, and POS functionality. Unless we explicitly state otherwise, Savory7 is not a Restaurant, seller, or merchant of record; we do not prepare, manufacture, or sell food or beverages and we are not a party to transactions between you and a Restaurant. Each Restaurant is solely responsible for its menu, pricing, taxes, regulatory compliance, food safety, quality, order fulfillment, refunds, and customer service related to your Restaurant transaction.

2. Eligibility and Accounts

• You must be at least 13 years old to use consumer-facing portions of the Services, and at least 18 (or the age of majority in your jurisdiction) to create an account or place paid orders.
• You agree to provide accurate, current information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• We may refuse registration, close accounts, or reclaim usernames at our discretion as permitted by law.

3. Orders, Payments, and Refunds

• Payment Processing: Payments are processed by third-party payment processors. We may transmit your payment details to such processors; Savory7 does not store full card numbers.
• Authorization: When you place an order, you authorize the charge for the order total, applicable taxes, fees, tips, and adjustments. Pricing and taxes are set by the Restaurant.
• Receipts: You consent to receive electronic receipts and communications related to your order.
• Refunds and Adjustments: Refunds, order issues, and post-transaction adjustments are managed by the Restaurant in accordance with its policies and applicable law. Chargebacks may result in account review or limitations.
• Delivery and Pickup: Estimated times are provided by the Restaurant and/or its delivery partners and are not guaranteed.

4. Merchant/Restaurant Subscriptions and Billing (For Restaurants)

• If you are a Restaurant using our Services, you agree to the pricing, fees, and billing terms presented in your order form or service agreement, including recurring charges where applicable.
• Unless otherwise stated, subscriptions renew automatically until canceled as permitted by your agreement. You authorize Savory7 to charge your payment method on a recurring basis for fees, taxes, and overages.
• Late payments may incur interest and/or result in suspension of the Services.

5. License and Acceptable Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code of the Services except as permitted by law.
• Bypass security controls or access data not intended for you.
• Use the Services for unlawful, harmful, or fraudulent activity, including spam, scraping, or high-volume automated requests that disrupt operations.
• Upload or transmit viruses, malware, or other harmful code.
• Misrepresent your identity or affiliation, or interfere with any user’s enjoyment of the Services.

6. Content, Ownership, and Feedback

• All rights, title, and interest in and to the Services, including software, interfaces, content, and trademarks, are owned by Savory7 or our licensors and are protected by intellectual property laws.
• You retain any rights you hold in content you submit through the Services. You grant Savory7 a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display such content as reasonably necessary to provide and improve the Services.
• If you provide feedback or suggestions, you grant Savory7 a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction.

7. Third-Party Services

The Services may integrate with or link to third-party websites, products, or services. We are not responsible for third-party content or practices and do not endorse them. Your use of third-party services is subject to their terms and privacy policies.

8. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect and use information. When we process personal information on behalf of a Restaurant, we act as a service provider/processor and the Restaurant’s privacy policy applies to that processing.

9. Communications

By using the Services, you consent to receive transactional communications (e.g., order confirmations, receipts, updates). Where permitted by law, we may send you informational or promotional communications; you can opt out of non-transactional communications as provided in those messages.

10. Term; Suspension; Termination

• We may suspend or terminate your access to the Services at any time if we believe you violated these Terms or to comply with legal obligations. We may remove or refuse to distribute any content for any reason.
• You may stop using the Services at any time. Certain provisions of these Terms survive termination (including Sections 6, 11–16).

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. RESTAURANTS ARE SOLELY RESPONSIBLE FOR THEIR PRODUCTS AND SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SAVORY7 OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO SAVORY7 FOR THE SERVICES THAT GAVE RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to defend, indemnify, and hold harmless Savory7 and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or misuse of the Services.

14. Governing Law; Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. You and Savory7 agree to the exclusive jurisdiction and venue of the state and federal courts located in San Mateo County, California, for any disputes that are not subject to arbitration (if any) or cannot be resolved informally.

15. Dispute Resolution

Before filing a claim, you and Savory7 agree to attempt to resolve the dispute informally by contacting the other party using the contact information below. If the dispute is not resolved within 30 days, either party may pursue available remedies in court or, if mutually agreed in writing, in binding arbitration. Nothing limits either party’s ability to seek equitable relief for unauthorized use or misuse of intellectual property.

16. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. The "Last updated" date above reflects the latest changes. If we make material changes, we will provide notice as required by law. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

17. Export and Sanctions Compliance

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. embargoes or sanctions. You agree to comply with all applicable export control and economic sanctions laws and regulations.

18. Miscellaneous

• Entire Agreement: These Terms, together with any order forms or agreements for Restaurants and our Privacy Policy, constitute the entire agreement between you and Savory7 regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
• Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Headings: Headings are for convenience only and do not affect interpretation.
